General Terms of Use
As of June 23, 2026
This English version is provided for convenience. The German version is legally binding.
1. Provider, Scope, and Target Group
These General Terms of Use govern the use of the EntgeltPlus application and the associated digital services of Ryvelia UG (haftungsbeschränkt), Wasserturmstraße 3, 04442 Zwenkau, Germany, represented by its managing director Kimon Neuhoff.
EntgeltPlus is not offered as a freely bookable self-service product for everyone. Use generally requires a separate license agreement, an individual offer, or another individual agreement with an advisory firm, an intermediary firm, or a company with its own advisors. These terms supplement that license agreement and govern in particular the use of the platform by the licensee and the users authorized by the licensee.
“Licensee” means the advisory firm, intermediary firm, or company with its own advisors with which we conclude the license agreement or a comparable individual agreement. “Authorized users” means in particular advisors, intermediaries, administrators, or other professional users whom the licensee permits to access the platform or for whom we activate access at the licensee’s request.
EntgeltPlus is aimed exclusively at advisory firms, intermediary firms, companies with their own advisors, and advisors and intermediaries acting in a professional capacity. Employers are not a separate target group of EntgeltPlus. Consumers within the meaning of Section 13 of the German Civil Code (BGB) are likewise not a target group of the offering. Contracts with consumers are not concluded under these terms.
In the event of conflicts, the individually concluded license agreement, an individual offer, a service description, a data processing agreement, or other expressly agreed special provisions take precedence over these terms.
2. Scope of Services and Activation
EntgeltPlus is a digital platform for advisors for the design, calculation, documentation, and support of processes relating to salary-related benefits, company pension schemes (bAV), capital-forming benefits (vermögenswirksame Leistungen), concepts for employer or corporate clients served, employee offers, closing documents, digital signatures, import and export functions, and accompanying communication and documentation processes.
The specific scope of services results from the respective license agreement, offer, service description, individual agreement, or the functionality activated in the application. Functions may differ depending on organization, role, quota, activation, agreed scope of services, or technical availability.
We may further develop the platform and improve, replace, restrict, or adapt functions to technical, security-related, professional, and legal requirements, provided that the contractually agreed core benefit is not materially impaired.
3. No Automatic Conclusion of Contract by Registration
The registration, invitation, account creation, or technical activation of an authorized user does not in itself establish a separate license agreement with that user or any automatic payment obligation, unless expressly agreed otherwise.
Access to the platform is generally granted after prior contact with us and after the conclusion of, or on the basis of, a separate license agreement with the licensee. We may refuse, suspend, or remove registrations, invitations, or access if no valid license agreement exists, if the authorization cannot be verified, or if security, data protection, or misuse-related reasons preclude access.
These terms may be made available upon conclusion of the contract, upon activation, within the platform, or via the publicly linked legal page. The governing version is the one that was validly incorporated into the license agreement or the use, unless subsequently validly amended terms apply.
4. User Accounts, Organizations, and Access Credentials
Use of protected areas requires a user account, an invitation, or an activation. The licensee ensures that only authorized persons obtain access to the application and that access is removed or adjusted when an authorization ends.
Organization owners and administrators are responsible for managing their organization, users, roles, permissions, data, and connected systems. Actions of an activated user are deemed to be actions of the respective organization insofar as they are attributable to the licensee’s area of responsibility.
Authorized users may use their access only personally and within the scope of their professional authorization. Access credentials, API tokens, and other means of authentication must be treated confidentially and protected against access by third parties. The licensee or the affected user shall inform us without undue delay if there is reason to suspect that access credentials have been compromised or that unauthorized persons have gained access.
5. Obligations of the Licensee and the Authorized Users
The licensee is responsible for the lawfulness, accuracy, currency, and completeness of the data entered by the licensee or its authorized users. This applies in particular to data of employer or corporate clients served, employee data, salary data, tax and social security information, benefit selections, information on company pension schemes (bAV), tariff data, document templates, signatures, import data, and other professional inputs.
The licensee ensures that it and its authorized users are entitled to use, process, and transmit the data entered. Insofar as personal data of employees or third parties is processed, the respective controller is responsible for the legal bases required for this, information obligations, co-determination rights, consents, and the requirements under employment, tax, social security, or data protection law.
The licensee and the authorized users may not misuse EntgeltPlus. In particular, the following are prohibited: unlawful content, attacks on the technical infrastructure, circumvention of security mechanisms, unauthorized disclosure of access credentials, automated mass access outside approved interfaces, disruption of platform operation, and any use that infringes the rights of third parties.
6. Rights of Use
For the term of the license agreement, we grant the licensee a simple, non-exclusive, non-transferable, and non-sublicensable right to use EntgeltPlus for professional purposes to the agreed extent and to grant authorized users access to the agreed extent. Use is limited to the activated functions, users, organizations, quotas, and interfaces.
Authorized users do not receive any transferable right of their own in EntgeltPlus, but only a personal right of access derived from the licensee within the scope of their authorization. If the user’s authorization or the license agreement ends, access may be blocked or deleted.
The licensee and the authorized users are not entitled to reproduce, modify, make publicly available, rent, lend, resell, decompile, or reverse engineer EntgeltPlus or components thereof, or to circumvent technical protection measures, unless this is mandatorily permitted by law or expressly agreed.
All rights in the software, the technical platform, the user interfaces, calculation logic, texts, designs, trademarks, database structures, templates, and other content remain with us or the respective rights holders. As between the parties, customer data remains with the licensee or the respective controller under data protection law.
7. Calculations, Advice, and Professional Review
EntgeltPlus generates calculations, model comparisons, pension values, cost and liquidity analyses, documents, and evaluations on the basis of the data entered, tariff information, statutory parameters, assumptions, and the stored calculation logic. Results may differ from actual payroll statements, tax assessments, insurance values, information provided by pension providers, or legal assessments.
EntgeltPlus does not replace individual legal, tax, insurance, pension, employment law, data protection, works council, or payroll advice. The licensee and the authorized users are responsible for professionally reviewing, or having reviewed, all results, documents, recommendations, contract documents, and calculations before their use. This applies in particular before passing them on to employer or corporate clients served, employees, insurers, pension providers, tax advisors, payroll accounting, works councils, or other third parties.
Insofar as EntgeltPlus supports documents, calculations, or information relating to insurance, pension providers, or benefits of employer or corporate clients served, we do not thereby provide insurance intermediation, legal services, or tax advice subject to licensing requirements, unless this is expressly agreed separately and legally permissible.
8. Documents and Digital Signatures
EntgeltPlus can generate PDF and DOCX documents, such as concepts for employer or corporate clients served, employee offers, consultation records, supplementary agreements, company pension scheme (bAV) documents, contracts or documents of companies served, data processing agreements, broker documents, or other accompanying documents. The generated documents are based on input data, templates, and calculations.
The licensee and the authorized users must review documents before use for accuracy, completeness, currency, legal suitability, formal requirements, and professional requirements. This also applies when documents are automatically generated, merged, exported, or sent by email.
Digital signatures in EntgeltPlus serve to support processes and documentation. They are not automatically qualified electronic signatures. Insofar as the statutory written form requirement, special evidentiary requirements, or qualified electronic signatures are required, it must be verified before use whether the respective form of signature is sufficient.
9. Import, Export, Interfaces, and Email Dispatch
EntgeltPlus can take over data via interfaces, import functions, or external systems and provide results, status information, or documents. The licensee and the authorized users are responsible for the authorization, quality, completeness, and security of the connected systems as well as for the protection of API tokens and other access credentials.
We may change, restrict, or block interfaces for technical, legal, or security-related reasons insofar as this is necessary. In the case of material changes, we will inform the licensee appropriately where possible.
Insofar as the licensee or an authorized user triggers email sending functions or document dispatch, they are responsible for ensuring that the respective recipients are authorized and that contents, attachments, and recipient addresses have been correctly selected.
10. Availability, Maintenance, and Support
We strive to operate EntgeltPlus securely and with as few interruptions as possible. A specific availability is owed only if it has been expressly agreed.
Maintenance work, security updates, technical malfunctions, outages of third-party providers, force majeure, or necessary protective measures may temporarily restrict use. We may take security-related measures, in particular temporarily block access, if there are concrete indications of misuse, unauthorized use, or a threat to the platform.
Support is provided to the agreed extent. The licensee and the authorized users describe errors in a comprehensible manner and cooperate appropriately in the analysis.
11. Prices, Billing, and Payment
Prices, payment conditions, contract terms, quotas, and billing periods result from the respective license agreement, offer, or an individual agreement. All prices are exclusive of statutory value-added tax unless expressly stated otherwise.
Registration or use by individual authorized users does not trigger a separate payment obligation unless this is expressly provided for in the license agreement, offer, or an individual agreement.
Insofar as payment, invoicing, plan, or subscription functions are used, service providers such as Stripe and Autumn may be used for payment processing, invoicing, subscription management, plan management, and management of usage quotas.
The licensee is obligated to pay fees due on time. In the event of default in payment, we may claim statutory default interest and block services after prior notice, insofar as this is legally permissible and reasonable for the licensee.
Price changes for ongoing license agreements are made only in accordance with the license agreement, another contractual agreement, or with the valid consent of the licensee. If a right of objection or a special right of termination exists, we will point this out in the notice of change.
12. Data Protection and Processing on Behalf of a Controller
The parties comply with the applicable data protection provisions. Insofar as we process personal data on behalf of the licensee, the parties conclude a data processing agreement pursuant to Art. 28 GDPR. The licensee remains responsible for the lawfulness of the data processing, information obligations, data subject rights, co-determination rights, and required consents insofar as it is the controller.
We are entitled to engage suitable subcontractors insofar as the data protection requirements are met. Transfers to third countries take place only in accordance with the GDPR. Further information can be found in the Privacy Policy and, where applicable, in the data processing agreement.
13. Confidentiality
The parties and the authorized users treat confidential information as confidential. Confidential information includes in particular trade secrets, technical information, access credentials, contract conditions, non-public product information, customer data, personal data, and documents that are to be regarded as confidential by their nature or under the circumstances.
The confidentiality obligation does not apply to information that is publicly known, becomes known without a breach of obligation, was lawfully obtained from third parties, or must be disclosed due to legal obligations. The confidentiality obligation continues to apply after the end of the contract or after the end of the user authorization.
14. Warranty
The statutory warranty rights apply unless otherwise agreed in the license agreement or an individual agreement. In the case of digital services and software, there is no entitlement to the platform being available free of errors or without interruption at all times. We remedy material defects within a reasonable time, provided that the licensee describes the defect in a comprehensible manner and we are responsible for the defect.
We assume no warranty for professional results that are based on inaccurate, incomplete, or outdated data, unverified assumptions, third-party data, unapproved templates, incorrect use, or use outside the agreed purpose.
15. Liability
We are liable without limitation in cases of intent and gross negligence, for injury to life, body, or health, under mandatory statutory provisions, and for expressly assumed guarantees.
In the event of a slightly negligent breach of material contractual obligations, we are liable only for the foreseeable damage typical for this type of contract. Material contractual obligations are obligations whose fulfillment is essential to the proper performance of the license agreement and on whose observance the licensee may regularly rely.
Otherwise, liability is excluded to the extent permitted by law. Liability for data loss is limited to the recovery effort that would have been incurred with proper and regular data backups by the licensee, insofar as the licensee was obligated to back up data or such backups were reasonable for the licensee.
Insofar as authorized users assert claims in connection with the use of the platform, the limitations of liability apply accordingly to the extent permitted by law.
16. Term, End of License, and Blocking of Access
The term and notice periods result from the respective license agreement, offer, or an individual agreement. The right to extraordinary termination for good cause remains unaffected.
After the end of the license agreement or after the end of a user’s authorization, access to the platform may be blocked. The licensee is responsible for exporting required data and documents in good time, unless the export is expressly owed by us. Statutory retention obligations, deletion obligations under data protection law, customer instructions in a data processing agreement (DPA), and legitimate interests in further storage remain unaffected.
17. Changes to These Terms
We may change these terms for future license agreements, activations, or uses. For ongoing license agreements, changes apply only if the license agreement provides for this, there is an objective reason, and the amendment procedure is legally permissible, or if the licensee consents to the change.
Changes are communicated to the licensee in text form, via the platform, or via the publicly linked legal page. Material changes to the principal performance obligations, prices, terms, or the contractual balance between performance and consideration are not made solely through these terms insofar as an express agreement or consent is required for them.
18. Final Provisions
The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is, to the extent permitted by law, Leipzig.
Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory provisions apply in place of the invalid provision.
